Welcome to our website (twoosk.com).

Twoosk – Inventory Management, S.A. (“Twoosk”) created a platform at www.twoosk.com (the “Website”), a Business to Business (“B2B”) online marketplace (”Twoosk Marketplace”), whose features and services (the “Services”) are provided to you, when you access or shop at our Website or when you use our Services.

The following Terms and Conditions (“Terms and Conditions”) are displayed in two main parts, the Terms and Conditions of Use (“TCU”) and the Terms and Conditions of Sale (“TCS”). Together they set out the legal terms that apply to your use of the Website and the Services that we provide, as well as the legal terms that apply to the sale and purchase of products on Twoosk Marketplace.

Please read these Terms and Conditions carefully and the information included in the Help Center section on the Website before using the Website and its Services, and remember that the access to and use of any services provided by Twoosk Marketplace and, the sale of products to you, are subject to the conditions set out on this page and based on the assumption that these Terms and Conditions have been read, understood and accepted by you. If you do not agree or accept these Terms and Conditions, you will not be able to use the Services or place any order and you should leave the Website. If you continue to use the Website or if you purchase products through it, we will assume this as your acceptance of these Terms and Conditions.

Notes to these Terms and Conditions

Along these pages, you will find words initiated with a capital letter (even if not at the beginning of a sentence). This means that these words are defined terms, which have the meaning given to it in the section of the Terms and Conditions where they first appeared.

When we refer to we, us or our, we mean Twoosk – Inventory Management, S.A. When we refer to you or your we mean you, the person using the Services.

As mentioned before, we have structured these Terms and Conditions in two parts, the TCU and the TCS, and we used headings to help you navigate and easily locate information. Whenever possible you will find links associated with terms or headings that will directly send you to the respective section of these Terms and Conditions or that will redirect you to other pages or other information within the Website.

The English version of these Terms and Conditions is the definitive version of it and the one to be considered for legal purposes. The other translated versions made available on the Website should only be considered as a means of making the information more accessible.

Twoosk reserves the right to modify or amend these Terms and Conditions from time to time. It is highly advisable to regularly check our Website to keep informed of any update. Please note that each time you use our Services to order products, you should consult, print or save a copy of this page to make sure you understand the legal terms and conditions which apply at that time relating to our supply of the services.

This Website is operated and maintained by Twoosk – Inventory Management, S.A., a company registered in Portugal at Lisbon Commercial Registry Office, with VAT registration number PT513846573. Our registered office is located at Aveiro Business Center, Rua da Igreja, 79, 3810-744 Aveiro, Portugal.

Twoosk is part of Yelco Group, SGPS, S.A., a company registered in Portugal at Lisbon Commercial Registry Office, with VAT registration number PT513762248. Yelco Group, SGPS, S.A., manage a diverse portfolio of businesses in telecommunications.

Twoosk provides its Services to you through Twoosk Marketplace. When you use Twoosk Marketplace to purchase products listed on it, you may be purchasing them from Twoosk through our Over Stock Business Services (“OS Business Services”), or from a Marketplace Seller (Business Seller(s)) identified on the product information page. Depending on who is selling the product to you, it is important that you understand that the contract for the purchase of the products is either between you and Twoosk or, between you and the relevant Marketplace Seller. In relation to the sale of products by Twoosk to you through OS Business Services, we are acting as an undisclosed agent or commissionaire on behalf of our OS Business Partners (the “Partners”) and with respect to overstocks management and business opportunities matching. We are authorized by the relevant Partner to conclude the contract in our own name but on their behalf.

Terms and Conditions of Use

1. Our Services

Twoosk Marketplace and the Services we offer through it, allow you to search and purchase different products from different Sellers based in the European Union. As part of the Services, Twoosk also provides some ancillary services such as arranging the delivery of the products, providing you with customer service assistance and payment processing without charge.

As a B2B Marketplace our focus is to provide our business services exclusively to sellers and buyers in the B2B sector, acting as a facilitator between businesses. We reserve the right not to accept order proposals from persons other than buyers in the B2B sector, as well as any other order proposal that do not comply with these TCU and the TCS. By buyers in the B2B sector, we mean the person or the business the person is employed by or represents, who is using our Services for purposes related to his or her trade, business, or profession (“Business Buyer(s)”).

As stated above, the products listed in Twoosk Marketplace belong to the Business Seller indicated on the product information page, meaning the contract for the purchase of the products is between you and the relevant Business Seller, who is legally responsible for them and for selling the products to you, and not us. The exception to this is when you buy products sold by Os Business Services, a service provided by Twoosk on behalf of our Partners and in relation to overstocks management. In this case, the contract for the purchase of the products is between you and Twoosk, but on behalf of the relevant Partner (see Sellers section of TCS).

The delivery logistics service is provided by Twoosk. As such, when you place an order through Twoosk Marketplace, the contract for the delivery services is between you and us. The charges for these services depend on the type of delivery, weight, and dimensions of the order, as well as on dispatch and destination country. Shipping information, including cost, will be shown at checkout and prior to your purchase of the products. Your contract with us is fulfilled once the products have been delivered to you by the transportation company at the address specified by you while placing the order. The Website and the Services provided by Twoosk Marketplace are not allowed to be used by minors. To use the Services, you must be over 18 years of age.

Our liability to you in relation to the services

The services we provide to you through Twoosk Marketplace are governed by these Terms and Conditions. Twoosk and the Marketplace Sellers are responsible for loss or damage that you suffer as foreseeable result of our breach of these Terms and Conditions or our negligence, but we are not responsible for any loss or damage that is not foreseeable nor any failure to perform or delay in performance of any of our liabilities to you if, such failure or delay, is caused by circumstances outside of our reasonable control. A foreseeable event is an event that is an obvious consequence of our breach or was considered by you and us at the time you started using the Services.

In case an issue with the services provided by Twoosk Marketplace happened to take place, such as an event affecting the delivery of your order, we will contact you as soon as possible, to notify and inform you accordingly. However, please understand that if the cause of failure or delay is beyond our reasonable control, our liabilities to you will be suspended for the duration of the event.

2. Our Website

The use of Twoosk Marketplace, either by Business Sellers or by Business Buyers, is subject to certain rules and by using it you agree to these rules, which apply from the moment you access our Website. If you do not agree with the rules set out below, you will not be allowed to use the Website and you should leave it immediately.

2.1 Access

Twoosk Marketplace is made available free of charge. A person using the Services may initiate for free the registration process as well as make all necessary arrangements to have access to the Website, provided it is in compliance with these Conditions of Use and the applicable service terms set out below in the TCS. Please note that any individuals, other than yourself, who access the Website through your internet connection are also subject to the acceptance of these Terms and Conditions, so be sure to notify them before they make use of the Service.

The use of the Services by Business Sellers requires, besides registration and the acceptance of these TCU, the acceptance of the Sellers Agreement and, where applicable, the payment of any applicable fees associated with the subscription plan you may have applied for.

You cannot, in any circumstances exploit the Website and its Services and contents for commercial purposes, unless explicitly authorized in writing by Twoosk. Twoosk reserves the right to limit your access, refuse a service, terminate an account or remove or edit content if you are in breach of applicable laws, of these TCU and TCS, or any other guidelines or policies set out within Twoosk Marketplace.

A registered user has the responsibility to preserve his account access data, such as the password, and all identification data associated with it, by not disclosing it to third parties and ensuring the confidentiality of access to the service.

In the event of loss or fraudulent use of your e-mail and/or your password, it is your responsibility to contact us. Please go to the Contact Details section below.

Please note that your access to the Website or the Services may become occasionally suspended or restricted for the purposes of undertaking maintenance actions or making new features or services available.

2.2 Intellectual Property Rights

Copyright, Authors' Rights and Database Rights

Twoosk operates Twoosk Marketplace and is the owner or licensee of all intellectual property rights in the Website. Content created and managed by the Marketplace Sellers in relation to their Seller Shops are property of the relevant Marketplace Seller. All twoosk.com contents (“Website Content”) including content in or made available through any of Twoosk Services (texts, illustrations and images, logos, button icons, audio and video clips, documents, data compilations), as well as any material related to our Website design, are protected by international copyright laws and intellectual property rights and by any relevant national law concerning copyright, authors' rights and database right laws, such as the Portuguese Copyright and Related Rights Code (Decreto-Lei nº. 63/85 from the 14/03/1985).

In accordance with those rights and if not otherwise stated, your use of the Website is only permitted on a personal and non-commercial basis and therefore it is absolutely forbidden to reproduce, copy and/or exploit any sections of Twoosk Marketplace or the Website Content, in whole or in part. You must not use any data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for reuse any substantial parts of the Website. You must not create and/or publish your own database that features substantial parts of the Website (e.g. our prices and product listings).

Trademarks

Twoosk is the exclusive owner of the domain “twoosk.com”, the logo, symbol, design, and registered trademark “Twoosk”. All other trademarks, names, signs or logos that appear in Twoosk Marketplace or in any of its services are the property of their respective trademark owners, who, except where expressly stated to the contrary, are in no way associated, linked or affiliated with us.

All third-party trademarks and images of third party products, services and/or locations featured on the Website are used on Twoosk Marketplace to distinguish, describe and advertise the products listed and sold on twoosk.com or to inform you about our service providers.

Both, Twoosk and the other registered trademark owners, are the only entitled parties to use the trademarks they respectively own. You are not authorized to use, in any circumstances, the registered trademarks featured on the Website without the prior consent of the respective owner. By doing so, you incur in serious legal consequences.

Software Terms

Your use of Twoosk Software is only allowed in the context of using and enjoying Twoosk Marketplace and the Services provided. All software used and developed in favor of Twoosk Marketplace and the services we offer is the property of Twoosk or its software suppliers and protected by international and Portuguese copyright laws. You are not authorized, in any circumstances, to incorporate, compile or transfer parts of Twoosk Software or commercialize it for your own advantage or profit. By doing so, you incur in serious legal consequences.

From time to time, we may update Twoosk software system. For example for purposes of software-development and software-security. We are under no obligation to notify you of these updates.

If, while using our Software system, you use third-party services, you should be aware that these TCU does not apply to those third parties.

2.3 Electronic Communications

The base of our communication with you is through electronic communication channels, such as email, text messages or by posting email messages or communications on the Website. Whenever you visit Twoosk Marketplace, submit an order, or use any of our services, or contact us through one of our channels of communication, you are doing so electronically. For contractual purposes, you agree that all agreements, notices, disclosures and other communications that we send to you electronically, on our behalf or on behalf of the Marketplace Sellers, satisfy any legal requirement that same communications be in writing.

2.4 Amendments to the Conditions and Terms of use and Partial Nullity

Twoosk reserves the right to amend the Terms and Conditions that govern the use of our Website and our service terms, at any time, either due to changes in our business policy and policy practices or due to a legal requirement. If any changes are made, please note that you will be subject to the Terms and Conditions and policies in effect at the time you used our Services.

In the event that one or more of the provisions of these TCU are deemed or declared invalid, null or unenforceable, by applicable mandatory law or by a final decision of a competent court of justice, that provision will be considered separately and will not affect the validity and enforceability of the remaining ones.

2.5 Your liability to us in relation to the Website

As a visitor or user of Twoosk Marketplace, you are liable and responsible for the use you make of the Website or the access to it, and you must use the Website for lawful purposes only. Thus, you must not use Twoosk Marketplace, the Website Content or Twoosk Software system for any of the following:

  • In any way that causes, or is likely to cause, the Website or access to it to be interrupted, become defective, damaged or affected in any way, and/or
  • In any way that breaches an international or national applicable law or jurisdiction or has any illegal or fraudulent purpose or effect, and/or
  • In a way that breaches any intellectual property rights, such as, copyright infringement, authors' rights and database rights, trademark rights, confidential disclosure, data protection rights or any other right, and/or
  • In any way that causes, or is likely to cause damages to third parties, and/or
  • To use, send or upload any material with an offensive, abusive or objectionable content, such as (by way of example only) email and chat room abuses, and/or
  • To send or upload any material containing computer viruses and malware, and/or
  • To analyze Twoosk Software system, either in whole or in part, to extract, duplicate, copy, modify, reverse engineer, decompile, or otherwise tamper with its design and implementation information, and/or
  • To assess or modifying data stored on our computer system, and/or
  • To encourage, promote, assist or authorize another person to commit any unlawful act related with all the previous provisions.

You understand that all electronic communications and content sent from your computer to us is your liability.

Unless with appropriate consent and permission in writing, breaching any of these provisions is strictly prohibited and by doing so, you would commit a criminal offence under any relevant applicable law or regulations and, therefore, subject to criminal proceedings. As a result, we will report any such breach to the competent authorities, and we will cooperate with those authorities by disclosing your identity to them. You are responsible to indemnify us or pay for all costs and expenses related with your breach.

2.6 Our liability to you in relation to the Website

As owner and operator of twoosk.com, we may at any time carry out updates or make changes to the Twoosk Marketplace or its contents, although we are under no obligation to do so. Consequently, at some point there may be some out-of-date content throughout the Website. Please understand that the Website Content aims only to provide you with general information to enhance your experience. We cannot guarantee that the Website Content is accurate and complete or error-free at all times. Therefore, to the fullest extent permitted by applicable law, we exclude all guarantees, conditions, or other terms which may apply to the Website or its content, whether expressly agreed or implied by the courts.

We will do our best to ensure that the Website, the content and the Services we offer will be continuously provided to you without interruptions and free from error or omissions, but neither Twoosk nor the Marketplace Sellers will be held responsible for any of the following:

  • For losses that were not caused by any breach on our part, and/or
  • For any loss or damage arising under or in connection with your inability to use the Website or use of or reliance on any content displayed on the Website, and/or
  • For any loss of business, such as any loss of profit, sales or revenue, contracts, anticipated savings, data, or wasted expenditure, and/or
  • For any loss of business opportunity, goodwill or reputation or interruption of business, and/or
  • For any indirect or consequential loss or damage that were not foreseeable to both parties, you and us or you and the Marketplace Seller, when you started using the Website and the Services.
  • For any loss or damage you suffer as a result of a delay or failure to comply with these Terms and Conditions, if the respective delay or failure arises from any unforeseeable cause which is beyond our reasonable control and not a consequence of our breach of these Terms and Conditions or our negligence (please see your legal rights related to our supply of the Services to you set out in Our Service section), and/or
  • For any loss or damage caused by computer viruses, cyber-attacks, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Website or to your downloading of any content to it, or to any website linked to it.

Nothing in these TCU limits or excludes our liability for fraud or fraudulent representations made by us or for death or personal injury caused by our negligence or willful misconduct.

Twoosk cannot be held liable for acts attributable to the relationship between Business Sellers and Business Buyers, having both parties a contractual relationship with each other.

Nevertheless, as facilitator of Twoosk Marketplace, we will liaise with the parties, the Business Seller and the Business Buyer to assure that the Buyer rights are taken care of, and that Sellers provide a proper and fast resolution to any dispute that might arise within the contractual relationship established. In case of dispute the Business Buyer should contact our Customer Care service with all necessary information to solve the dispute with the Seller, and we will ascertain the facts providing the necessary support to the resolution of the dispute.

We reserve the right to withdraw or amend the Website without notice and, from time to time, we may restrict access to all or parts of the Website. We will not be liable to you if, for any reason, the Website is unavailable at any time or for any period.

3. Complaints

Complaints will be handled on a case by case basis and according to our complaint procedure, which we will use to try to resolve the dispute in question when it first arises and present you with a solution to resolve the situation. 4. Privacy Policy

Please visit our Privacy Policy page to understand how and for what purposes we collect, use, share and process your personal data. For further information on our Privacy Policy you can contact our Customer Care team, or send a request to the email address gdpr@twoosk.com or a written letter to the administrative office of the owner and operator of twoosk.com (Twoosk – Inventory Management, S.A., Rua Frei João Turiano, N13, Piso 1 – 2675-389, Odivelas, Portugal).

We recommend that you read the Privacy Policy, which also applies to users who access twoosk.com and use the relevant services without making purchases.

5. Children

The Website and the Services provided by Twoosk Marketplace are not allowed to be used by minors. To use the Services, you must be over 18 years of age. It is neither the policy nor the intention of Twoosk to collect and intentionally process personal data of children.

6. Waiver

If you breach these Terms and Conditions, and we take no action or if we delay taking action, that does not mean that we have waived our rights. We will still be entitled to use our rights and remedies in any other situation where you breach these Terms and Conditions. If we do waive a breach by you, we will only do so in writing (signed by one of our Directors), and that will not mean that we will automatically waive any later breach by you.

7. Applicable Law

These Terms and Conditions, their subject matter and formation (and any non-contractual disputes or claims) are governed by Portuguese law. You and we, agree to the exclusive jurisdiction of the courts of Portugal over any dispute or claim relating to these Terms and Conditions.

Terms and Conditions of Sale

1. Products and Product Information

The supplier of the products displayed and sold on Twoosk Marketplace (the “Products”) is the relevant Marketplace Seller. The supply of goods under the OS Business Services will be ensured by Twoosk on behalf of our Os Business Partners. Twoosk is not the manufacturer of the products displayed and sold on Twoosk Marketplace.

All product information displayed on the Website is either completed by the relevant Marketplace Seller (Seller shop), who own and are responsible for the products, or based on information provided to us by the relevant Os Business Partner. It is the seller´s responsibility to promptly update such information as necessary to ensure it remains accurate at all times.

The Products listed on Twoosk Marketplace are presented with a description that allows the Buyer to know their essential characteristics and their price or other listing information.

We attempt to ensure that the product information on the Website is as accurate and error-free as possible. However, please note that it only aims to provide you with general information, actual product packaging and technical documents or manuals may contain additional information regarding product details and specifications. Therefore, we recommend that you always carefully read the labels, warnings and instructions available with the product before you use it.

If you would like more information about a product, you can contact our Customer Care team. If you have any technical or safety concern about a product, that is not clarified in the information provided with the product, you may contact the manufacturer.

The pictures of the products displayed on the Website are merely for illustrative purposes.

Twoosk accepts no liability for inaccuracies or misstatements about products by manufacturers or other third parties. This does not affect your statutory rights.

On Twoosk Marketplace you can find offers of products in two different states, “new” and “refurbished”. The condition is explained here. On the Website, Business Sellers are not allowed to offer flawed or defective items nor items that are of lower quality than the corresponding market standards.

If, as result of a purchase on Twoosk Marketplace, you receive an item that is flawed and/or faulty or is not as described, you can request a return and refund, whenever and only when, repair or replacement is not possible and we will liaise with the Marketplace Seller on your behalf, as part of our customer service to you. Twoosk Marketplace supports customers in the B2B sector, thus the products sold by the Business Sellers may be used for commercial, business or re-sale purposes. You agree that you will not export, reexport or otherwise transfer the products to countries or territories that are the target of comprehensive embargoes or sanctions or to parties identified on the U.S. Treasury Department’s List of Specially Designated Nationals and Blocked Persons List or the E.U.’s Consolidated Financial Sanctions List.

2. Buyers

The Terms and Conditions set out in this section govern the purchase of products on Twoosk Marketplace.

2.1 Service Terms

Twoosk Marketplace reserves the right to limit the access of Business Buyers to the services and the right not to accept order proposals that do not comply with these TCS, TCU or any other applicable terms and conditions, guidelines or policies including our Return Policy and Refunds.

Please understand that the law treats business-to-business contracts differently than business-to-consumer contracts.

Our Marketplace offers a set of tools that facilitate, exclusively, the relationship between Buyers and Sellers in the B2B sector and not in the consumer market. These include, but are not limited to, registering on the Marketplace, buying, and selling products and rating/ evaluating the service provided by the seller as well as the product.

You need to register on twoosk.com to place an order. By creating your own Twoosk account (“Your Account”) you will access exclusive areas and benefit from services dedicated to our customers. Registration and the use of the Marketplace are free, and you can start your registration at any time that suits you. To learn more information about how to shop and place an order, please go to Placing of the Order and Payment section below and visit our Help Center.

When you shop on Twoosk Marketplace, you assume total responsibility for the accuracy and veracity of the information you provide us with, such as personal information, billing and shipping information, and payment details. While in the process of placing an order (“Secure Checkout”), you will be requested to provide that information for relevant steps and places, unless it was already provided during the registration process.

The data contained in the invoice are the buyer's responsibility. The invoice once issued cannot be reissued with changes.

The Buyer undertakes to act in good faith, avoiding situations where Marketplace Sellers and Twoosk may be induced in error, and to only purchase products authorized in his country of residence, ensuring that he does not violate the applicable law in force in the destination country.

As provider of delivery logistics services, Twoosk reserves the right to charge additional costs incurred for shipping the products as a result of the lack of accuracy in the information provided by the Buyer.

The Buyer is responsible for the payment of any import fees or customs duties associated with the country to where product(s) are being delivered. To learn more about Duties and Taxes, please go to section 5.2.

2.2 Your Account

A registered user will be able to benefit from several advantages associated with having an account. For example, you would be able to download your invoice directly from your order, check the status of your orders, enjoy direct messaging, faster checkout and exclusive promotions.

You are responsible for maintaining the confidentiality and security of Your Account and password and for restricting access to your computer. Please notify Twoosk immediately if you have any reason to believe that your e-mail and/or your password has become known to a third party and may be subject to fraudulent use.

You can access and change your information in Your Account section of the Website. You confirm that all details you provide are true and accurate and that you are over 18 years of age.

2.3 Your Liability

To the extent permitted by applicable law you agree to accept responsibility for all activities that occur under Your Account or password.

2.4 Personal Data

Twoosk Marketplace and Twoosk take a proactive approach to user privacy and ensure the necessary steps are taken to protect the privacy of its users throughout their visiting, selling and buying experience. 3. Sellers

The terms and conditions set out in this section govern the sale of products in Twoosk Marketplace. For terms and conditions relating to the sale of products through OS Business Service, please see section 3.1. For terms and conditions relating to the sale of products by Marketplace Sellers to you, please see section 3.2 below as additional or different terms may apply.

3.1 Sale of Products by OS Business Services (Twoosk)

a) Contract and Relationship of parties

OS Business Services is a service provided by Twoosk. Please click here to find more information about it.

When you place an order for products sold by OS Business Services, the contract for the purchase of the products is concluded between you and Twoosk – Inventory Management, S.A. In this context, an order placed by a buyer is considered as a proposal to Twoosk to buy the item(s) in his order. This means that Twoosk does not own the products. We take your order and, if your offer is accepted, we purchase the products from our OS Business Partner. Your order will then be shipped directly to you.

After a Buyer places an order to purchase a product from OS Business Services, you may expect to receive the following communication from us:

  • “Order Receipt Confirmation email”, an email confirming that your order has been received and containing your order details. Please understand that this email does not confirm the acceptance of your offer to buy the product(s) ordered. The contract of sale between you and Twoosk, regarding the ordered product(s), is only fulfilled once the respective goods have been shipped and shipping has been communicated to you.
  • “Shipping Confirmation email”, an email confirming that your order has been accepted and that the product(s) have been shipped to you.
  • “Delivery Notification email”, an email notifying you that your order has been delivered and requesting you to rate your experience.

Following your acceptance of electronic communications terms set out on the TCU, you also agree to receive the sales invoice electronically.

Your sales invoice will be sent to you by email. A registered user will also be able to download (pdf format) your electronic invoice from Your Account. You will receive a notification email each time a new attachment is uploaded to your order.

b) Cancelations

You might be able to cancel your order or some of its items, without any cost, before we start processing it. This will always be before you receive the Shipping Confirmation Email relating to that product, but not necessarily up to that moment. However, please be aware that sellers are unable to accept cancellations of goods made or modified to meet your requirements and technical specifications.

You must inform us of your decision to cancel your order by contacting our Customer Care Team, which will in turn contact you, as soon as possible, to let you know if we were still able to cancel your order.

c) Pricing and availability

The price of the product is set in Euros by the Seller.

All product prices are displayed both, without and with the legally applicable VAT of the country from which the item is shipped. Delivery costs are not included in the product prices and will be charged in addition at checkout, prior to your order submission. The total amount shown on the order summary page already includes delivery costs.

We attempt to ensure that the information displayed on each product page of the Website is as accurate and error-free as possible. This includes descriptions, availability but also prices. In the event an order happens to include a mispriced product, we will proceed with the rectification of the advertised price, while processing your order.

If product's correct price is higher than the price on the Website, we will contact you, as soon as possible, giving you the option to reconfirm your order or to cancel it. If you choose to reconfirm your order and have already paid for the products, you will have to pay for the difference.

In the case, we are unable to contact you, your order will be considered as cancelled. If you have already paid for the products, you will receive a full refund as soon as possible.

If a product's correct price is lower than our advertised price, you will be charged the lower amount. If you have already paid for the products, we will refund you the difference.

Regarding availability, on each product information page, you will be able to consult the available quantity in stock of a specific product. Please understand that the availability of a product is subject to confirmation. While processing your order, we will inform you by e-mail, as soon as possible, if any of the products you ordered are out-of-stock. You will not be charged for those products. If you have already paid for your order, you will receive a full refund as soon as possible.

Furthermore, due to the possibility of changes in price and availability, and to make sure you are always visualizing the most updated version of the Website page you are on, be sure to refresh the relevant website page.

d) Value Added Tax (VAT)

When a customer buys products sold by OS Business Services, you are buying them from Twoosk, which acts on behalf of the relevant OS Business Partner. As we are a Portuguese established and registered business (European Union) with a valid Tax Identification Number (TIN), the sales of goods will be subject to the VAT rate legally applicable in Portugal at the time of your purchase. However, VAT will not be charged in following situations:

  • Goods dispatched or transported to a European Union country to an EU VAT registered customer (Intra-Community Supply of Goods). In this case, you or your company has an active EU VAT registration number valid for EU cross-border supplies of goods according to VIES VAT number validation system, or
  • Goods dispatched or transported to a country outside of the European Union (Export). In this case, goods are sold for export to Business Customers abroad and are normally not subject to VAT.

3.2 Sale of Products by Marketplace Sellers

One of the services provided on Twoosk Marketplace is the Sell-on-Twoosk Service (“Sell on Twoosk”). By creating an account, this service allows a business user to list products and start selling them online via Twoosk Marketplace, if and once the Seller is approved by Twoosk. You or the business you represent will be able to access a dashboard specifically designed for Sellers and build your own shop.

Paragraph 2 and 3 of section 3.1(a) above shall be replaced by the following:

When you place an order for products sold by a Marketplace Seller, the contract for the purchase of the products is between you and the relevant Marketplace Seller, whose profile you will be able to see on each product information page. Twoosk is not a party to that contract, and you are not purchasing the products from us. Your order is deemed to be an offer to buy the product(s) from the relevant Seller. If the Seller accepts your order proposal, your order will be shipped to you directly from the seller´s warehouse location.

After a Buyer places an order to purchase a product from a Marketplace Seller, you may expect to receive the following communication from Twoosk Marketplace:

  • “Order Receipt Confirmation email”, an email confirming that your order has been received and containing your order details. Please understand that this email does not confirm the acceptance of your offer to buy the product(s) ordered. The contract of sale between you and the Marketplace Seller, regarding the ordered product(s), it is only fulfilled once the Seller has shipped the respective product(s) and shipping has been communicated to you.
  • “Shipping Confirmation email”, an email confirming that your order has been accepted and that the product(s) have been shipped to you.
  • “Delivery Notification email”, an email notifying you that your order has been delivered and requesting you to rate your experience.

Section 3.1(b) above shall be replaced by the following:

You might be able to cancel your order or some of its items, without any cost, before the Marketplace Seller starts processing it. This will always be before you receive the Shipping Confirmation Email relating to that product, but not necessarily up to that moment. However, please be aware that the Sellers are unable to accept cancellations or returns of goods made or modified to meet your requirements and technical specifications.

You must inform Twoosk of your decision to cancel your order by contacting our Customer Care Team, which will liaise with the Seller on your behalf and contact you, as soon as possible, to let you know if we were still able to cancel your order.

Paragraph 1 and 2 of section 3.1(d) above shall be replaced by the following:

When a customer buys product(s) from a Marketplace Seller, you are buying them from a registered Business Seller with warehouses established and located within the European Union. For each product listed on Twoosk Marketplace, the Seller will provide the geographic address where he is established and the country from which the item(s) will be shipped, which is clearly indicated on the product information page.

As your Marketplace Seller and its warehouse is based in the European Union, the sales of goods will be subject to the VAT rate legally applicable at the time of your purchase in the country from where the item is shipped. VAT will not be charged in the following situations:

  • Goods dispatched or transported to a European Union country to an EU VAT registered customer (Intra-Community Supply of Goods). In this case, you or your company has an active EU VAT registration number valid for EU cross-border supplies of goods according to VIES VAT number validation system, or
  • Goods dispatched or transported to a country outside of the European Union (Export). In this case, goods are sold for export to Business Customers abroad and are normally not subject to VAT.

4. Placing of the Order and Payment

The terms set out in this section inform about how to order and pay for products on Twoosk Marketplace. You can find more information related to this on our Help Center page.

To place an order on Twoosk Marketplace you will have to register for an account.

Based on the products' online catalog available on Twoosk Marketplace, the Business Buyer may place an order for a given product and selected quantity. This is achieved by adding the product to cart and completing the Secure Checkout process, which is concluded once you click on the Buy now button during the last step of the checkout page.

Regardless of how many different Marketplace Sellers you are ordering products from, you will only have to checkout once. After you submit your order, you will be given a different order number per Marketplace Seller.

When you place an order, you are offering to purchase the ordered product(s) from the relevant Business Seller. Your order is subject to these TCS and TCU and, as explained before under the Sellers section, the contract of sale is between you and the relevant Marketplace Seller.

The Seller identity is shown on each product information page. You can click the seller profile link under the “Add to Cart” and “Contact Seller” buttons, and it will also been shown on the order confirmation page when you place an order.

Please note that all orders placed on Twoosk Marketplace are subject to availability and price confirmation.

The contract of sale between the parties (Buyer and Seller) for the ordered product(s) is only concluded once the Seller accepts your offer and acknowledges the receipt of the recipient’s order (Order Receipt Confirmation Email). Once the Seller has dispatched the listed product(s) to the Buyer, the contract of sale between the parties is fulfilled and the Buyer receives a Shipping Confirmation Email.

The acceptance of an order by a Marketplace Seller implies the following:

  • The Seller is legally liable to supply you with goods that are in conformity with the contract of sale,
  • The Buyer has the legal title to the product purchased once the respective payment is accepted,
  • The delivery service provider (Twoosk) is responsible to ensure that the ordered product(s) are delivered to the Buyer.

It might happen that your order needs to be dispatched in more than one package. If this is the case, the shipping confirmation email will only list the contract item shipped with this parcel.

The Seller reserves the right to cancel the contract of sale if the product is out-of-stock, no longer available in the Marketplace, for lack of payment or if not in accordance with the Marketplace Terms and Conditions.

Please understand, that when you place an order, you are confirming the accuracy and veracity of all the details you provide us with, such as, contact information, billing and shipping information and payment information. You also need to ensure that you have selected the correct products and quantities. During the checkout process you will have the chance to identify and correct input errors prior to placing the order, so please make sure you allow time to carefully check each checkout step before you submit your order.

Twoosk Marketplace allows you to pay your order using the following payment methods:

  • Credit Card (Visa, MasterCard, American Express), processed by Stripe,
  • Multibanco (payment from customers in Portugal),
  • SEPA Direct Debit, processed by Stripe,
  • Bank-based methods (iDEAL, GiroPay, EPS, Przelewy24 and Bancontact), processed by Stripe,
  • Wire Transfer.

If you opt to pay using a credit card (immediate payment), please note that our payment processors will carry out a standard preauthorization check on your payment card on behalf of Twoosk. Your order will be processed only after this verification. If we are unable to obtain authorization for your payment, your order will be cancelled.

If you opt to pay by Multibanco or by Wire Transfer, the payment must be done outside our checkout flow. Please note that your order payment status is initially set to pending and will remain as so until we receive the transferred of funds in our Bank Account. This may take as little as a few minutes or at most seven (7) days depending on when you initiate the transfer of funds. During this period, the product(s) of your order will be reserved. If we have not received your payment after seven (7) days, your order will be cancelled.

Whenever you use Multibanco, your payment details, , entity, reference, and amount will be provided to you within the checkout process after you click on “Buy now” and will also be included in your order receipt confirmation email.

Whenever you use Wire Transfer, our Bank Account details, IBAN and SWIFT/BIC, will be provided to you within the checkout process after you click on “Buy now” and will also be included in your order receipt confirmation email. You will receive an email notification about the success of your payment after funds have been received in our Bank account.

In the unlikely event that the Business Seller encounters a problem while processing your order, we will contact you, as soon as possible, to try and resolve the issue in the best interest of both parties.

Buyers make the payment to Twoosk, which receives the corresponding amount on behalf of the Seller, to whom it will be later passed on, less commission.

5. Delivery

5.1 Shipping and Order Tracking

Delivery times vary depending on dispatch and delivery address, as well as on the shipping method chosen by the Buyer. There may be some cases, where the delivery times will also depend on product availability.

Marketplace Sellers can set an order to be dispatched in 24, 48, or 72 hours up to 12 weeks (Dispatch time). You can check individual product pages to see each product dispatch time. Products made to order are subject to specific and longer dispatch times since they will have to be manufactured upon a receipt of orders.

Note that orders received during non-business days are processed on the next business day. After preparation has been concluded, your order will be dispatched directly from the Seller´s warehouse location.

Orders are dispatched Monday to Friday between 9am and 6pm, delivery times are based on time from dispatch and take an average of:

For parcels,

  • 1 - 2 business days, within the same country
  • 3 - 5 business days for most of Europe
  • 5 - 7 business days for the rest of the World

For Palletized loads,

  • 2-3 business days, within the same country
  • 5-8 business days for most of Europe

Please note, delivery estimates are just that. They should be used as a guide and not as guaranteed delivery times. Customs clearance delays are not the responsibility of Twoosk or of relevant Seller.

The Marketplace may provide Buyers with three shipping methods: Premium, Standard and Ground Transportation, and each one has its own estimated delivery times. The Ground Transportation shipping method applies to palletized loads.

Shipping costs depend on the shipping method selected, weight and dimensions of the package, as well as on dispatch and destination country. Shipping information, including cost, will be clearly shown at checkout and prior to your purchase of the products. There may be cases where our system could not automatically find a proper shipping method. In this case a message will be shown, and our customer care team will get in contact with you as soon as possible to arrange a quotation for shipping.

The Buyer will be able to track and consult the estimated delivery date of the products through the tracking number that will be provided in his Shipping Confirmation Email.

Twoosk provides the delivery services (not the relevant Seller), and we will do our best to ensure that the estimated delivery date of your order is fulfilled. However, keep in mind that there may be circumstances outside of our reasonable control where delivery is delayed. In case an issue with the delivery of your order has been identified, Twoosk will chase the transportation company to find out what has happened to your order and will inform you accordingly. You can find more information related to our liability to you regarding services under section 1 of the TCU.

The product(s) will be delivered to you directly by the relevant Seller. If you ordered products from different Marketplace Sellers you may receive multiple deliveries and at different times. For each dispatched package you will receive a separate Shipping Confirmation Email. Each dispatch corresponds to a separate contract of sale.

If you are not at your address at the estimated delivery time, our delivery service provider will make a second attempt or will leave you a note, and you will need to contact him to schedule another delivery.

If you choose to use any optional services offered by the transportation company, please understand that you are doing it separately with the transportation company, and you agree that Twoosk has no liability for any loss or damage that may result from delivering your order in that way.

5.2 Duties and Taxes

If you are ordering products sold and dispatched from outside your country, please be aware you may be subject to customs duties, taxes and fees (“Import Fees”), which will not be estimated during the Checkout process and therefore will not be applied to your order.

These Import Fees are due once the package reaches the specified destination. The Buyer or the person delegated and authorized by the Buyer to receive the goods, is responsible for paying any additional charges for customs clearance based on the applicable laws of the country into which the products are being delivered. Neither Twoosk nor the Seller have any control over these charges and cannot predict what they may be.

Twoosk does not offer services related to customs clearance, customs duties and fees. However, the Buyer may contact Twoosk to ask for help regarding customs clearance. We will, as a gesture of goodwill, provide assistance as much as we can, but the Buyer assumes full responsibility for the costs associated with it, and which are due to the appropriate customs and tax authorities of the destination country.

You will also have to consider that in a B2B sales transaction, when you buy on Twoosk Marketplace you are understood as the importer of record, so it is your duty to comply with all customs regulations of the country where you are receiving the goods and, in addition, you may be requested to provide any information and/or documentation necessary for the release of your goods.

We recommend you contact your local customs office for further information about the customs policy applicable to your case at the time of entry, and to get a “landed cost estimate” before placing your order.

Please note that, international dispatchments are subject to opening and inspection by the customs authorities.

6. Return Policy and Refunds

6.1 Returns

As a Marketplace supporting customers in the B2B sector, Twoosk and the Marketplace Sellers are not under the obligation to comply with the laws and regulations applying to consumers. Our liability to you is limited or excluded by the European Union’s E-Commerce Directive and by our terms of service, including our Guarantee guidelines set out in section 7 below.

A business customer is entitled to:

  • Request a return and full refund, if an item is faulty and/or flawed, not as described or does not do what it is supposed to, provided repair or replacement is impossible,
  • Request a free of charge replacement, repair, or partial refund, if an item is faulty and/or flawed or does not do what it is supposed to,
  • Request to cancel your order and be fully refunded if you do not get your item(s) within 30 days after it has been dispatched from the seller’s warehouse.

A business customer is not entitled to:

  • Request an exchange or a return and full refund of an item you have just changed your mind about or do no longer want, or
  • Request to cancel an order offering after the Seller accepted it, or
  • Request a return and full refund for an item that was damaged by wear, accident or misuse, (i.e. while trying to repair yourself or having someone else do it), or
  • Refuse the delivery of a product or products you have ordered as a means of returning it.

In accordance with the provisions set out above, if you need to return an item that was bought from a Seller on Twoosk Marketplace, you will need to return it directly to the Seller. To do that you need to initiate a return request by contacting our customer care team, which will intercede with the Seller in your behalf. If the Seller accepts your return, you will obtain the return details to send your product back within 2 business days. Please package your item with care to avoid damage during transportation.

Once the item is received by the relevant Marketplace Seller, it will be inspected, and the Seller may offer to repair or replace it. If none of these options are viable, a full refund of the faulty product will be processed by us within 14 days. A solution between the parties will be agreed on a case by case basis.

Please note that if you return an item, you will be responsible for reclaiming taxes and import duties directly from your local customs office given they were not originally included in the purchase price.

6.2 Refunds

When you purchase an item from a Seller on Twoosk Marketplace, you are making the payment to Twoosk, who passes the payment on to your seller, less applicable commission.

Where Twoosk Marketplace Return Policy requirements are fulfilled and you are entitled to request a refund, you must do it using Twoosk Marketplace customer service and, we will liaise with the Business Seller on your behalf.

Twoosk will normally process refunds within seven (7) days after buyer´s request. Funds will be deposited using the same method of payment used to pay for your order. Twoosk will send you an email confirming that your refund has been issued. Refund times depend on your Credit or Debit Card Company.

In accordance with Twoosk Marketplace Return Policy refunds are issued as follows:

  • If the buyer is returning an item that was part of a multiple product order, refund of delivery charges only applies per item,
  • Refund of delivery charges is based on standard charges, which means that you will only be refunded for the least expensive type of delivery offered,
  • If a buyer refuses to return the item, refund or replace cannot be demanded, unless specifically agreed between the parties

7. Guarantee

On Twoosk B2B Marketplace the sale contract is entered between businesses. Under this commercial relationship, the warranty terms applied to the products listed on Twoosk Marketplace are provided by the Marketplace Seller.

Although, the guarantee period may vary depending on which Seller Shop you are buying the products from, if the product you bought on Twoosk Marketplace turns out to be faulty after delivery or not as advertised (does not match the seller’s description), the Marketplace Seller has to offer you free repair or, at his option, replacement within a period of at least six (6) months following delivery.

Where repair or replacement are not possible, the seller may offer to refund the product concerned. Replacement units or parts will be warranted for the remaining portion of the original warranty period.

In addition, any Marketplace Sellers or manufacturers of the products sold may offer a commercial guarantee, for a specific period of time, which can never be less than the minimum guarantee set out above.

Please note that customers need to cover the shipping fee to return products to the Marketplace Seller. However, if after examining the product the Seller agrees that it was defective when you bought it, the shipping fee you paid for returning the product will be refundable to you. If the Seller accepts your return, you must return the package as per our instructions to the Seller´s warehouse address.

In any case, the guarantee period will not cover product failure due to damages caused by you, such as any defect or malfunction caused as a result of an accident, misuse, failure to follow instructions, abuse, or use with improper equipment (i.e. improper wiring or incorrect voltage) or any product which has been altered or tampered with an attempt to repair it yourself.

If not specified on the product information page, sections Return Policy and Refunds and Warranty set out above will apply to your order by default.

For products sold as refurbished, the guarantee described above does not apply. Should a defect occur, please note that such products guarantee is under specific terms (Refurbished Guarantee), which are provided by the Seller and specified in the product page.

In the event that no Refurbished Guarantee is provided by the seller, the product may be returned for an exchange, within fourteen (14) days following delivery, if the product is received Dead on Arrival (DOA). A product is considered Dead on Arrival if a defect is determined during initial installation, preventing basic operability when you first use it after opening the box.

Therefore, if a product you have received is DOA, please email help@twoosk.com within fourteen (14) calendar days of delivery date. The DOA product must be returned in original condition.

After examination, if the seller determines the product is DOA, a replacement with another refurbished unit will be offered. If the seller determines you have misrepresented a returned product’s condition and that the product is not DOA, the product will be sent back to you, and you will have to cover shipping fees (return and resend).

When you make a claim for a faulty item, you will need to provide your order reference, proof of purchase, showing where and when you bought the goods and provide details about the problem.
