Please read these General Terms and Conditions carefully before using the service.

General Conditions of Use

1. Preamble 

Twoosk - Inventory Management SA (hereinafter referred to as "twoosk") has created at www.twoosk.com a B2B online marketplace  (hereinafter referred to as "Marketplace") that allows professional buyers (hereinafter referred to as "Buyers"), after registering on the site, to contact, through other professionals (manufacturers, distributors, installers, contractors) also registered in the site (hereinafter referred to as "Sellers") for the purpose of acquiring new or second-hand products related to excess stock (hereinafter referred to as  "Products") and subject to a fixed price set by Seller. 

The General Conditions of Use apply to the sales of products between Buyers and Sellers in the Marketplace regulating the relations between the parties, not applying, however, to the relationship between the Buyers and twoosk, nor between the Sellers and twoosk, which will be regulated, respectively, by the General Conditions of Use by the Buyers and General Conditions of Use by the Sellers. 

The products sold in the Marketplace belong to the Seller indicated on the product page, which is the sole responsible for them, with full responsibility for returns, warranties and / or refunds. The only case twoosk will be responsible for the products will be when it owns the products offered for sale. 

Products marketed by Marketplace Sellers may be new, unused and preserved products in their original packaging, or second-hand products. Second-hand products refer to refurbished items, in the "as new" state, namely display products or customer returns, so many are not in the original packaging. After tested by Seller, the products will be delivered to the Buyer with all accessories and benefit from guarantee, whenever applicable. 

Sales made between Buyers and Sellers are governed by these General Conditions, which must also be accepted by the Buyer at the time of each purchase, in addition to the Buyer's General Conditions of Use. 

2. Contact Information 

The data of the Buyer and the Seller are collected and processed by twoosk within the scope of the service of purchase and sale in the Marketplace, twoosk being responsible for the handling, management and security of the data supplied to it 

The Purchasers authorize twoosk to transmit to Sellers the following personal data in order to process the orders placed in the Marketplace: name, address and contact telephone numbers. 

Sellers undertake to ensure maximum security in the use and processing of Buyer data in compliance with Regulation 2016/679 - General Data Protection Regulation. 

3. Conclusion of the purchase and sale agreement between the Buyer and the Seller 

These General Conditions are subject to Portuguese legislation. 

4. Price 

The price of the product is defined by the Seller, in Euros, and also indicating the fees and taxes. shipping costs will be calculated at checkout and added to the price of the product. 

The products are paid to twoosk, who will transfer the corresponding amount to the Seller. 

5. Service providers 

twoosk may use the subcontracting of service providers (hereinafter referred to as "Suppliers") to integrate the service provided in the Marketplace. 

In the case of contracting the delivery service, the Buyer and the Seller may contract the product delivery service, accepting that the twoosk share with the delivery service provider the following information: name and address of the customer, name and address of the recipient and customer and recipient contact. 

Seller acknowledges that the use of this information by Suppliers will be governed by the privacy, and security of Suppliers. 

6. Delivery Time and Costs 

The picking / ordering deadlines are contracted with the Sellers in the Particular Conditions and vary between 24 and 72 hours. The transportation time will depend on the place of origin and place of delivery, as well as the mode of transportation selected by the Buyer. 

The value inherent to transportation expenses are charged by twoosk to Buyers, and it is presented in Checkout.  

7. Complaints 

If the products have any defect or hidden defect that have not been previously informed by the Buyer, it has the right to submit a claim to the Seller within 30 days. 

Disputes will be settled between Buyer and Seller. twoosk, as facilitator of the marketplace, will liaison with both parties to assure Buyer rights are taken care and Seller gives a proper and fast resolution to any dispute that might rise within the contractual relationship stablished. 

8. Warranties 

Under current legislation, products under the defective warranty must be sent to the Seller's attention in the same state in which they were received. 

9. Legal Notice 

twoosk makes no warranty as to the accuracy of the product information, availability, and otherwise, posted by Sellers in the Marketplace. 

Likewise, twoosk is not liable for any claims arising out of the use, selection, installation, modification, malfunction and / or incorrect application of the product. 

General Conditions of Use by Buyers 

1. Object 

The purpose of these General Conditions is to define the conditions of purchase in the Marketplace of twoosk. 

2. Service 

Marketplace offers a set of tools that facilitate the relationship between Buyers and Sellers. These include, but are not limited to, registering on the Marketplace, buying and selling products and evaluating the service. 

Marketplace operations are entered into directly between Buyer and Seller. twoosk acts as a business facilitator between the parties and is not liable for any breach of the General Terms and Conditions of the Marketplace. In the event of a breach or breach of good faith by a user, twoosk reserves the right to suspend or terminate access to the service. 

3. Access to the service 

twoosk reserves the right to limit access to the service to Professional Buyers. The use of the service requires the acceptance of the Buyer's General Conditions as well as its registration in the Marketplace, by defining a password and providing its identification data. 

The Purchaser undertakes to preserve them and not to disclose them to third parties. The Buyer must ensure the confidentiality of access to the service, ensuring that his account is not used by third parties. In the event of loss or fraudulent use of your e-mail and / or your password, the Purchaser undertakes to contact twoosk. 

In order to use the Marketplace, the Buyer must previously accept these General Conditions, without any restrictions, by clicking at the time of purchase. 

Registration, as well as the use of Marketplace, are free. 

4. Personal information 

In compliance with Law no. 67/98 of October 26 and the General Data Protection Regulation, we inform that the treatment of personal data collected on the website is the responsibility of:

When the user uses the Marketplace, when sends emails to twoosk or other forms of communication through the computer or mobile phone he/her is contacting the company electronically. twoosk will also contact the user through various electronic formats, namely by email, messages and notifications in the Marketplace. 

The user expressly authorizes twoosk to send information about products and services that may be of interest to you, using your personal data for the purpose of direct marketing through any communication channel, namely through electronic mail, SMS, MMS or other forms. 

All users of the service have the right to access, rectify, cancel and oppose their data. If you wish, at any time, to stop being part of the database of Twoosk you can exercise this right by sending an email to rgpd@twoosk.com, giving your name, surname and email address. 

The data collected on this site are essential to ensure security in accessing the service and managing the user's account. In the Marketplace side, they are indispensable for the processing of orders, communication with Buyers, processing of requests for information and eventual complaints, statistical analysis and for the purposes of direct marketing. The information necessary for the completion of the orders and consequent delivery will be transmitted to the Seller. 

twoosk will not market or share clients’ information with third parties. 

5. Obligations arising from the use of the service 

5.1. general 

The Buyer, when using the Marketplace, undertakes to comply with the legislation applicable to its commercial activity, such as registration, accounting, tax and tax obligations, as well as concerning the guarantee of goods. 

Buyer undertakes not to disclose in the Marketplace information and not to promote, directly or indirectly, the products or services of third parties. Likewise, the Buyer undertakes not to advertise its products or services, by placing hypertext links or messages that refer to its website. 

The Purchaser undertakes to ensure the best operation of the Marketplace. In this way, you must ensure the constant updating of your contacts in the Marketplace, as well as commit to respond to messages from Sellers and twoosk, through the means indicated in the Marketplace, in a timely manner. 

5.2. Products and services 

The Purchaser undertakes to purchase only products from which it has purchase authorization in its country of residence, ensuring that it does not violate the applicable legislation. 

The Buyer assumes responsibility for the accuracy in the information provided on the places of delivery, by describing its characteristics and restrictions. In effect, the Buyer undertakes to act in good faith, avoiding situations where it may induce the Sellers and twoosk in error. 

twoosk reserves the right to charge extra costs incurred in transporting the products resulting from the lack of accuracy in the information provided by the Buyer. 

The Buyer is responsible for the payment of customs duties associated with the Country of the place of delivery. The Buyer may contact twoosk for the latter to take charge of the customs clearance of the products, with subsequent passage of the cost of the same to the Buyer. 

5.3. Purchase of products 

The contract of sale of the products published in the Marketplace is tacitly concluded between the Buyer and the Seller, by making the product available in the Marketplace. 

The Purchaser reserves the right to terminate the purchase agreement if the product is no longer available in the Marketplace. 

The Buyer receives from the Marketplace a message stating that Seller has validated the order, as a rule 24 (twenty-four) business hours after receipt. Being the product (s) shipped within the specified period indicated in the Marketplace by the Seller. 

The expected delivery date will depend on the place of origin and place of delivery, as well as the mode of transportation selected by the Buyer, the Buyer receiving an email with the information of the same. 

After validating and confirming the delivery, within a maximum period of 72 (seventy-two) hours, the Buyer must inform Twoosk that everything went well with it. 

In the absence of confirmation from the Buyer within the period mentioned in the previous paragraph, the contract of purchase and sale will be automatically closed as without anomalies. For this to be considered as delivery date the confirmation of delivery by the transport supplier. 

5.4. Buyer Complaints 

The Buyer has the right to complain about a product to the Seller, informing twoosk of the fact. 

6. Responsibility 

twoosk disclaims any liability for damages caused to Buyer that may arise directly or indirectly from improper use of our site and our Marketplace. Likewise, twoosk cannot be held liable for acts attributable to the relationship between Buyer and Seller, both parties having a contractual relationship with each other and twoosk merely acting as a facilitator in the formalization of the business. 

Additionally, twoosk excludes the responsibility over the products for the sales concluded between Buyers and Sellers, in parallel to the service provided by Marketplace. 

Nevertheless, as facilitator of the marketplace, twoosk will liaison with the Seller and Buyer to assure that the Buyers rights are taken care and Seller gives a proper and fast resolution to any dispute that might rise within the contractual relationship stablished. In case of a dispute Buyer should contact twoosk at buyers.marketplace@twoosk.com with all necessary information to solve the dispute with the Seller and twoosk will ascertain the facts providing the necessary support to the resolution of the dispute. 

III. General conditions of use by sellers 

1. Object 

The purpose of these General Conditions is to define the conditions of sale in the Marketplace of twoosk. 

2. Service 

The Marketplace provides Sellers with a set of features, namely the publication of products for sale, the acceptance and sending of orders made by Buyers, the definition of sales prices and promotions, and the management of after-sales service and guarantees. 

Sales through Marketplace are entered into directly between Buyer and Seller. twoosk acts as a business facilitator between the parties and is not liable for any breach of the General Terms and Conditions of the Marketplace. In the event of a breach or breach of good faith by a user, twoosk reserves the right to suspend or terminate access to the service. 

3. Access to the Service 

twoosk reserves the right to limit access to the service to Business Sellers. The use of the service requires the acceptance of the General Conditions of the Seller, as well as the registration in the Marketplace, by setting a password and providing your identification data. 

Seller agrees to preserve them and not to disclose them to third parties. Seller must ensure confidentiality in accessing the service, ensuring that your account is not used by third parties. In the event of loss or fraudulent use of your e-mail and / or your password, Seller agrees to contact twoosk. 

The registration and use of the Marketplace have associated a potential cost, previously defined. To the service of sale in the Marketplace, could be added other services, namely the transport of the orders.

5. Obligations arising from the use of the service

Seller agrees not to disclose in the Marketplace information and not to promote, directly or indirectly, the products or services of third parties. Likewise, the Seller undertakes not to advertise its products or services, by placing hypertext links or messages that refer to its website. 

The Seller undertakes to ensure the best functioning of the Marketplace, providing a high quality service to Buyers. In this way, you must ensure the constant updating of your contacts in the Marketplace, as well as commit to respond to messages from Buyers and twoosk by the means indicated in the Marketplace, in a timely manner. 

5.2. Products and services 

Seller agrees to sell only products it owns or has marketing rights to, ensuring that it does not violate applicable laws. 

Seller is solely responsible for the products it offers for sale in twoosk Marketplace, assuming responsibility for the accuracy in the information provided about the products, by describing its characteristics and price. In effect, Seller undertakes to act in good faith, avoiding situations where it may mislead Buyers. 

Seller agrees to keep the inventory of the products up to date in order to avoid any stock faults or constraints on Buyers. 

Finally, Seller shall place photos of products that are on sale in the Marketplace, as described in the description. 

Twoosk reserves the right to approve the publication of new products for sale, as well as its descriptions and illustrations. 

5.3. Price 

Seller reserves the right to freely define the price of the products available for sale in the Marketplace, indicating the taxes and charges included. 

5.4. Sale of products 

The contract of sale of the products published in the Marketplace is tacitly concluded between the Buyer and the Seller, upon the availability of the product in the Marketplace. 

The Buyer reserves the right to resolve the dispute purchase if the product is no longer available in the Marketplace. 

Seller receives on its Marketplace Seller's dashboard page a message stating that it has received an order from a Buyer and must validate it within a maximum of 24 business hours of receipt. 

After validating and confirming the order, Seller agrees to send the product (s) within the period defined in the Particular Conditions agreed with twoook, set forth below, in IV. General Conditions of Shipment. In the absence of Seller's confirmation within the period mentioned in the previous paragraph, the purchase agreement will be automatically canceled, and the Seller's account may be temporarily suspended. 

In the event of absence or unavailability for more than two business days, Seller shall temporarily suspend the sale of its products by posting an "Out of Office" message and indicating the date on which it will be available again. 

5.5. Buyer Complaints 

Seller undertakes to make the necessary efforts to provide Buyer with a high-quality service. 

The Buyer has the right to complain about a product to the Seller, informing twoosk of the fact. 

Seller assumes responsibility for the resolution of Buyer's claims. Seller will receive Buyer's complaint through the contact means indicated in its Marketplace. Upon receipt of a claim, Seller has 7 (seven) days to resolve the claim with Buyer. In the event of failure to comply with the stipulated deadline and after notifying the Seller, twoosk reserves the right to reimburse the payment for the product. The amount will be subsequently deducted from the amounts to be paid by twoosk to Seller. 

6. Responsibility 

Seller exempts twoosk from any liability or denunciation for the detriment of its published announcements and / or sale of products in the Marketplace. 

Similarly, twoosk assumes no responsibility for Seller's products, prices and behavior in the Marketplace. In the event that a penalty is imposed on twoosk for any reason, Seller assumes this responsibility and undertakes to reimburse twoosk for all expenses incurred in this connection. 

twoosk assumes no responsibility for Seller's misuse of the Marketplace. 

twoosk shall not be held liable for any sales arising between Sellers and Buyers through its Marketplace. All complaints concerning disputes initiated by a Buyer relating the Seller products received will be forwarded to Seller, who will assume full responsibility for its fast resolution implementing the proper actions need, i.e. accepting the return of the product assuming the cost of transportation, action of warranties and / or refunds for defective products.  

twoosk will assist both parties to solve the dispute by providing the necessary support to ascertain the facts to obtain a fast  resolution of the dispute. 

7. Commissions and Payments 

Twoosk will retain from Seller a percentage of the value of the order received. This percentage will be agreed in the Particular Conditions defined with the Seller for the use of the Marketplace. 

Twoosk will be responsible for paying Seller the amount of the sale, deducting the commission, after confirmation of receipt of the order by the Buyer. 

IV. General Conditions of Delivery 

1. Deadline for "Picking" 

The Seller undertakes to make available the material for collection by the transport supplier, within the period defined in the Particular Conditions agreed with twoosk. 

This period may be 24 (twenty-four), 48 (forty-eight) or 72 (seventy-two) hours after receipt and validation of the order. 

2. Types of Transportation 

The Marketplace provides Buyers with 2 types of transportation: Standard Transportation and Urgent Transport, with delivery times defined according to the choice of each type of delivery.

4. Customs duties 

The customs fees are the sole responsibility of the Buyer, and the Buyer may subcontract the customs clearance service to twoosk.
